IAA Member Guide to Updates to the Master Service Agreement and Membership Agreement
We have updated the terms and conditions of our Master Service Agreement (MSA) and Membership Agreement (MA).
Below are answers to some common questions about the revised agreements.
Why have we updated our MSA and MA?
The Board and IAA Team regularly review the MSA and MA to ensure good governance practices. During the latest review, significant updates were deemed necessary to:
- Reflect current operating processes and the improved professionalisation of the Association
- Comply with legislative requirements, including obligations for the security of critical infrastructure, privacy laws, and unfair contract terms
- Make the agreements easier for Members to understand
- Allow for a streamlined execution process

What are the changes?
Some of the significant updates include:
- Consolidating service schedules into the MSA to simplify documentation and better reflect current operations
- Incorporating policies such as the Disconnect Policy, Code of Conduct – Member Services, and Pricing Policy into the agreements for clarity
- Explicitly specifying that Affiliate Members can order services under the MSA
- Clarifying the commencement, term, and renewal of agreements
- Recognising Members’ intellectual property rights
- Introducing mutual confidentiality clauses
- Simplifying the way that Members can review and agree on or negotiate any changes to agreements;
- Adding a new insurance clause
- Improving the format for brevity, clarity, and cohesion
This is not an exhaustive list, so we encourage you to review the revised agreements in full.
What do Members need to do?
From 3 February 2025, Members will be prompted to review, sign, and accept the updated agreements via the IAA Member Portal. Affiliate and Corporate Members will also have the opportunity to negotiate specific terms in the MSA if needed.
Can Members still use the IAA Member Portal and make orders?
Yes. Members will continue to have access to the IAA Member Portal and all current services.
However, if the new agreements are not accepted or negotiated for agreement, we may have to enforce our right to not renew our agreements with you, which will mean you will no longer be able to receive our services.
We’ll contact any Members who do not accept or contact us for a review to ensure a smooth transition, avoiding any service disruptions.
What happens if I don’t sign the updated agreements?
IAA may enforce our right to not renew our agreements with you, which will mean you will no longer be able to receive our services.
What if I have a custom MSA?
Corporate and Affiliate Members with customised MSAs in place with us will not be prompted to review and accept the updated terms of the MSA. However, they will still be asked to review and agree to the updated terms of the Membership Agreement.
Are there any changes to pricing or service levels?
No changes to pricing or service levels have been made as part of this update.
Will Members be notified of future changes to agreements?
Yes, any future updates will follow a similar process, with Members given the opportunity to review and agree to changes.
